Overview

Tannenbaum Helpern has a long history of representing non-profits. These client relationships reflect the Firm’s commitment to providing the high quality and highly tailored service required for each client to further its mission. Our non-profit clients include charitable organizations, private foundations, educational institutions, hospital and healthcare systems, trade and professional associations, and religious institutions.

For these clients, the Firm provides a wide range of legal services including general corporate (including formation and corporate governance), investment management, real estate and construction, litigation and dispute resolution, general and specialized taxation, employment, intellectual property, cybersecurity and data privacy, and creditors’ rights. In addition, Tannenbaum Helpern’s Trusts and Estates department regularly advises clients with respect to the formation and operation of family foundations and trusts.

Representative Experience

  • Assisted a nationally recognized non-profit in changing from a membership to a non-membership organization and obtained the approval of the Charities Bureau of the State Office of Attorney General for the resulting change in the organization’s certificate of incorporation
  • Represented a special Committee of the Board of Directors of a large grant-making Foundation in connection with an internal investigation.
  • Provided tax, pension, and structuring advice to a large, public tax-exempt organization in connection with forming an independent non-profit spin-off corporation.
  • Advised an international non-profit with respect to endowment fund investment-related transactions.
  • Assisted a nationally recognized non-profit with respect to its corporate governance procedures, including with respect to its periodic review of corporate documentation (e.g. by-laws and designations of individual authority) for accuracy.
  • Advised a religious institution with respect to its joint venture with a real estate developer in connection with the sale and redevelopment of the institution’s headquarters.
  • Represented a major university’s investment board in connection with its evaluation of potential alternative investments.
  • Advised a nationally recognized non-profit with respect to its acquisition and disposition of significant real estate holdings (including related air rights).
  • Successfully represented a large non-profit in New York State Court in real estate-related litigation.
  • Advised international non-profit with respect to the registration on the protection of its intellectual property rights.
  • Advised a non-profit in connection with its employment policies, agreements, and applicable employment-related laws (including wage/hour-related regulations).
