Successful sale of a global business

Tannenbaum Helpern worked on the sale of a global legal translation business with multiple subsidiaries and offices around the globe as well as the corollary international issues (corporate governance, non-competes, due diligence, etc.). The transaction contained a multi-year earn-out that required balancing the sellers' desire for protections, ensuring continuity of revenue generation and the buyer's desire to operate the target unfettered. The transaction contained the gamut of ancillary agreements to negotiate, including a multi-year executive employment agreement and non-competes.
